For securities-plaintiff & shareholder-litigation firms

Pre-vetted 10-K disclosure contradictions vs the federal record.

We continuously test public companies' own customer- and revenue-concentration disclosures against the federal-contract record in USAspending. When a filing says "no single customer accounted for more than 10% of revenue" but one federal agency's obligations to that same company clear that line, we surface it — verbatim quote, filing link, agency dollars, USAspending link, and the computed gap. Deterministic. Dual-cited. Timestamped.

Scienter hook

Their words, the public record

Every flag carries the company's own 10-K sentence beside the federal dollars that contradict it. The discrepancy is between two of their own public disclosures — not our opinion.

Provenance moat

Timestamped "flagged on date X"

Each flag is anchored to a SHA-256 hash-chain with an ISO timestamp. Go-forward receipts you can cite for when a discrepancy first became publicly checkable.

What you get

Per flag
Verbatim 10-K concentration claim+ exact filing URL & accession number
Single-agency federal obligations+ USAspending link, FY window, UEI/DUNS
Computed conflictagency $ as % of reported revenue vs the stated threshold
Confidenceonly medium/high ship; the test is deterministic
Provenance receipthash-chain anchor + timestamp

How it works

SEC EDGAR full-text search surfaces 10-Ks asserting customer/revenue concentration. We resolve the filer (CIK) to its USAspending recipient (UEI/DUNS) via an entity crosswalk, sum its federal obligations by awarding agency, and compare the single largest agency's dollars to the revenue the same filing reports. A flag ships only when the gap clears a conservative margin.

Honest scope

We surface verifiable public-record discrepancies, not legal conclusions. A 10-K's "customer" definition, segment reporting, and fiscal periods may differ from USAspending's recipient and award windows. This is a research lead, not an allegation of fraud or misstatement. Your firm verifies both linked sources and decides. We are not a law firm and this is not legal advice.
